Region: AMERICAS Area of Interest: Finance Level of Experience: Experienced - Non Manager Flexible Work Option: No Job Description: Responsibilities include: • Partner with acquisition integration teams, and drive acquisition integration efforts, as they relate to equity compensation and target company shareholders and employees. • Contribute to the design of acquisition strategies, in order to most effectively implement integration plan. Act as Project Manager for acquisition transactions. • Implement acquisition integration plan, as it relates to stock and stock incentives. This may involve coordination efforts and continuous communication with Legal Counsel (in-house, outside, and target), Tax Counsel (in-house and external), HR Acquisitions team, Corporate Development, Acquisition Integration team, U.S. and non-U.S. Payroll, Finance and Target Company Management. Implementation of the acquisition integration plan generally includes the following: o Review due diligence analysis of target company stock spreadsheet: audit, issue resolution, and recommendations. o Model the stock integration plan in Excel, typically including converting target stock and stock incentives to cash and/or stock, and modeling unique stock based incentive and retention mechanisms. o Review and approve vest templates consistent with acquisition terms, and upload outstanding/assumed equity awards into stock management database. o Define and coordinate processes to implement share exchanges and option assumptions. This sometimes involves driving implementation of processes and ongoing equity plan delivery solutions for special international plan assumption, optimal shareholder taxation vehicles, and stock exercises by employees of target company. o Present to target company employees' (education) - employees transitioning to Cisco, as well as terminating employees. Post close responsibilities: (i) manage the process of the delivery of cash and/or stock to target shareholders and employees (ii) monitor implementation of the appropriate acquisition integration procedures, (iii) manage escrow release process for GSPS and (iv) address ongoing questions/issues pertaining to integration activities. o Re-vesting of shares, options and restricted cash. • Calculate the cash-out of the merger and process wires. • Identify, recommend and lead implementation of process improvements and productivity enhancements relating to stock acquisition and integration activities. • Participate in, and in some cases, lead Global Stock Plan Services operational initiatives. • Participate in Stock Plan Services' global education initiative, as well as in the team's initiatives for process improvements, systems and productivity enhancements.
